User License Agreement (ULA) for Credenza.ai

1. Content Responsibility

• You are solely responsible for the content of any document, credential, or application uploaded or transmitted through Credenza.ai
• We do not verify, edit, review, or validate any content you upload.
• Credenza.ai is a data transmission tool and does not assume liability for any false, misleading, or inaccurate information submitted by users.

2. Artificial Intelligence (AI) Limitations

• AI-generated content, including autofill suggestions, may contain errors ("hallucinations").
• You agree to independently verify all AI-generated outputs.
• Credenza.ai is not liable for any inaccuracies, omissions, or damages resulting from AI-generated content.

3. HIPAA & Protected Health Information (PHI)

• Credenza.ai is not a Covered Entity or Business Associate under HIPAA (Health Insurance Portability and Accountability Act).
• You waive HIPAA protections for any PHI you upload or transmit.
• You may not upload the PHI of any other person or patient.
• If you prefer HIPAA protections, do not upload your PHI.
• You may choose to upload PHI, store it, or delete it at any time.
• We implement encryption and security best practices but assume no liability for the handling, storage, or transmission of PHI.

4. Account Ownership & Security

• Only the person named on the credentials may create an account.
• Delegating account creation is not permitted.
• Password sharing, OTP sharing, and account delegation are strictly prohibited.
• Suspicious login activity may result in account suspension or termination, without refund.

Use of Uploaded Information for Internal Testing

• We do not share, sell, or grant external access to the information and documents you upload except as necessary for your authorized dissemination of your credentialing data.
• We may retain blank credentialing applications you upload for internal system training, quality review, and process improvement, even after account deletion.
• We will never sell, share, or transfer your uploaded documents or testing results containing your information to any third party.
• We may access and use information and documents in your Credenza.ai account for internal testing of our machine learning and system improvements.
• This testing will be conducted solely by Credenza.ai personnel.
• Data used for testing will not be used for external AI model training, shared externally, or disclosed beyond our internal processes.

5. Unauthorized Use & Data Abuse

• Credenza.ai is not responsible for false or misleading information transmitted through our platform.
• Any misuse of our platform may result in account suspension or permanent deletion, at our sole discretion.
• We reserve the right to investigate and act upon suspicious or unauthorized activity.

6. CSAM & Illegal Content Ban

• The upload, storage, or transmission of Child Sexual Abuse Material (CSAM) is strictly prohibited.
• We use automated and manual detection tools to monitor for CSAM.
• Users violating this ban will have their account immediately terminated without refund, and law enforcement will be contacted.
• We reserve the right to share identifying information with law enforcement agencies as required by law.

7A. Changes to Terms, Pricing, & Business Operations

• We reserve the right to change this agreement. If changes are made, we will notify users prior to their next payment.
• Pricing is subject to change at our discretion.
• In the event of business closure, we will provide users with a reasonable period (e.g., 30 days) to access their stored data.
• IIn the event of business closure, we assume no further obligations to users beyond providing access to their accounts until the announced date of closure.
• In the event of business closure, refunds may be issued due to account termination or business closure to annual subscription holders only, at our sole discretion.

7B. Pricing and Plans available

• Paid users may access all features of the site. Paid users can be billed by payment method on file monthly for $5.00, or pay for a year in advance for $48, a discount of 20%.
• Should a user not be satisfied with their free trial period, presently offered for two calendar months,such user has two options.
  1. User may permanently delete their account and its contents. Permanent deletion renders anyuser information or files private from Credenza.ai with the possible exception of blank applications.
     • Use of Credenza.ai in the future will require new account creation.
     • We are not responsible for your duplicated labor or difficulty encountered as you attempt to recreatean account with the same email or cell phone number, although help may be available.
  2. User may opt to continue as a free account. In such account cases, all files uploaded as a paidor free trial user will be maintained.
     • Account access will allow viewing and downloading credential files and applications.
     • The ability to send credentials, send with added protection, upload new files, or to editapplications will not be available.
     • Free account holders will have the option to restore full access to all features of Credenza.ai by authorizing payment at the rates above, or rates we set in the future at our sole discretion.
     • We reserve the right to terminate free account access at our sole discretion for violations of this agreement or our Privacy Policy.

Suspended or locked accounts

• We reserve the right, at our sole discretion, to lock the account, and prevent access to our site, for any reason below.
1. -Violation of terms in this agreement.
2. -Consumption or dissemination of CSAM.
3. -Malicious attempts to disrupt our site.
4. -Failure to authenticate contact methods used for account access, namely email and a U.S. Cell phone number.

8. Limitations on Liability; No Warranties

• Credenza.ai DISCLAIMS ANY WARRANTY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• Credenza.ai SHALL NOT BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THIS WEBSITE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, LIQUIDATED, SPECIAL, OR EXEMPLARY DAMAGES OR PENALTIES, INCLUDING WITHOUT LIMITATION, LOSSES OF BUSINESS, REVENUE, OR ANTICIPATED PROFITS, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE.
• Credenza.ai’s LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NEVER EXCEED THE AGGREGATE AMOUNTS PAID OR PAYABLE TO CREDENZA.AI BY USER IN THE SIX (6) MONTHS PRECEDING THE COMMENCEMENT OF THE EVENT(S) GIVING RISE TO THE CLAIM.
• ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OF Credenza.ai MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED

9. Governing Law; Submission to Jurisdiction

• This Agreement and use of Credenza.ai shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction) that would cause the application of laws of any jurisdiction other than those of the State of New York. Any legal suit, action, or proceeding arising out of or related to this Agreement or the licenses granted hereunder shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York in each case located in the County of New York, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding. Service of process, summons, notice, or other document by mail to such party's address set forth herein shall be effective service of process for any suit, action, or other proceeding brought in any such court.
